A term sheet is a listing of what the deal conditions will be when and if they do a deal; lawyers will later fill in the details. By accepting the term sheet, the startup agrees to show away other VCs for a few set timeframe while this firm does the “due diligence” required for the offer. The homework discloses no ticking bombs, and six weeks later each goes forward with the deal.
